Acceptance

By using Governli you agree to these Terms of Service. If you do not agree, do not use the service.

Business use only

Governli is offered to organisations for professional use. The service is not directed at consumers, and consumer-specific rights such as the statutory right of withdrawal for distance sales do not apply.

Service description

Governli provides structured decision support for vendor risk assessments. Output is intended to assist human decision-makers and does not constitute legal advice.

Contracting party and accounts

When a company or other legal entity purchases or uses Governli, the contract is between Governli and that legal entity — not the individual who completes the purchase. The person who completes a purchase confirms they are authorised to bind the entity. Account and billing details (legal name, billing address, country, tax identifier) are maintained by the account owner in the company profile.

Subscriptions, purchases and payment

Governli is offered as one-time purchases (Single Assessment and Assessment Pack) and as recurring monthly subscriptions (Professional and Enterprise editions), optionally extended with modules and add-ons. Subscriptions renew monthly until cancelled; you may cancel at any time and the subscription remains active until the end of the paid period. Payment is processed by our payment provider; Governli never stores full card numbers.

Governli does not offer a public free trial. Any trial is agreed individually and in writing.

Prices and taxes

Prices are quoted exclusive of VAT and other taxes unless stated otherwise. Applicable taxes are calculated at checkout based on your billing details and applicable law, and are shown before you confirm payment. You are responsible for providing accurate billing information, including your billing country and any VAT or tax identifier.

Refunds and revocation of purchased capacity

A full refund of unused purchased capacity may be requested within 14 days of purchase. Capacity that has been consumed is not refundable, and for assessment packs consumed units are neither refunded nor revoked.

When a one-time purchase is refunded, Governli automatically revokes the corresponding unused capacity and any entitlement granted by that purchase. Work already performed is not reversed.

Subscriptions may be cancelled at any time and cancellation takes effect at the end of the billing period already paid for. There is no standard pro-rata refund for a subscription period that has started.

Modules and add-ons follow the same subscription billing and cancellation principle: no standard retroactive refund for a billing period that has started.

Governli may grant exceptions for erroneous charges, technical faults or other justified circumstances.

Support and availability

Governli aims to respond to support requests within one business day. Response times are targets and are not guaranteed service levels unless otherwise agreed in writing.

Governli aims to operate the service with high availability but does not provide a standard percentage uptime commitment or service credits.

Separately agreed support and service-level terms may be offered to Enterprise or specially contracted customers.

Acceptable use

You agree not to use the service for unlawful purposes, to upload malicious content, or to attempt to interfere with the integrity of the platform.

Decision support, not assurance

Assessments, AI-supported analysis, findings, scores, recommendations, Decision Snapshots and Decision Packages support customer decision-making. They are not legal advice, not a security certification, and not a guarantee that a supplier or system is secure, compliant, risk-free or suitable. Responsibility for the customer's final procurement, security, compliance and risk decision remains with the customer.

Limitation of liability

The service is provided on an "as is" basis to the extent permitted by law.

For subscriptions, Governli's maximum aggregate liability is limited to the fees actually paid by the affected customer to Governli during the twelve (12) months preceding the event giving rise to the claim.

For one-time purchases, Governli's maximum aggregate liability is limited to the amount paid for the specific product or service that gave rise to the claim.

To the extent permitted by applicable law, Governli is not liable for indirect or consequential loss, loss of profit, loss of revenue or similar indirect commercial loss.

Nothing in these terms excludes or limits liability where applicable mandatory law does not permit such exclusion or limitation.

Data protection and the DPA

Personal data handling is described in the Privacy Policy. Where Governli processes personal data on your behalf, the Data Processing Agreement applies. The DPA is a separate agreement: accepting these Terms or reading the Privacy Policy does not execute it.

Intellectual property

Governli and all related trademarks, software, content and documentation are the intellectual property of Governli or its licensors. You retain ownership of the documents you upload and grant Governli a limited right to process them solely to deliver the requested assessment.

Termination and data after termination

You may stop using the service and cancel subscriptions at any time. We may suspend or terminate access for breach of these terms.

Customer workspace data — uploaded documents, assessments, evidence and reports — is retained while the account is active and is deleted no later than 90 days after the customer account is terminated.

Governing law and disputes

These terms are governed by Swedish law, without regard to conflict-of-law rules. The exact legal venue is determined by the registered seat of the contracting Governli entity and is confirmed in the customer's order documentation.

Changes

We may update these terms from time to time. Each version carries a version label and effective date, shown at the top of this page. Material changes require renewed acceptance; acceptance of earlier versions is preserved as history.
